2. Description of Service

Rep-Link is a marketplace platform that connects freelance sales representatives with businesses seeking sales services. We facilitate the creation of contracts, milestone-based payments, and dispute resolution.

3. User Accounts

3.1 Account Creation

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 18 years old to use our services
• One account per person or business entity

3.2 Account Types

• Sales Reps: Individuals seeking sales opportunities
• Businesses: Companies seeking sales services

4. Platform Rules

4.1 Prohibited Activities

• Fraudulent or misleading information
• Spam or unsolicited communications
• Circumventing platform fees
• Sharing account credentials
• Violating intellectual property rights
• Discriminatory or harassing behavior

4.2 Content Standards

• All content must be professional and relevant
• No offensive, illegal, or harmful content
• Respect intellectual property rights
• Maintain confidentiality of client information

5. Commission and Payments

5.1 Commission Structure

• Fixed Price: One-time payment upon completion
• Milestone-based: Payments tied to specific deliverables

5.2 Payment Terms

• All payments are processed through our secure platform
• 14-day auto-release period for milestone payments
• Platform fees are deducted from payments
• Refunds are subject to our refund policy

6. Dispute Resolution

6.1 Mediation Process

1. Initial mediation by our support team
2. Evidence review and documentation
3. Non-binding resolution within 5 business days
4. Optional binding arbitration if mediation fails

6.2 Dispute Fees

Dispute resolution fees may apply and will be deducted from the disputed amount or charged to the party initiating the dispute.

7. Intellectual Property

Users retain ownership of their intellectual property. By using our platform, you grant us a limited license to use your content for platform operations and marketing purposes.

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information in compliance with Singapore's Personal Data Protection Act (PDPA).

9. Platform Fees

9.1 Service Fees

• Sales Reps: 5% of total commission earned
• Businesses: 3% of total project value
• Payment processing fees may apply

9.2 Fee Changes

We reserve the right to modify our fee structure with 30 days' notice to existing users.

10. Limitation of Liability

Rep-Link provides a platform for connecting users but is not responsible for the quality of work performed or the outcome of projects. Users engage with each other at their own risk.

11. Termination

11.1 Account Termination

• You may terminate your account at any time
• We may suspend or terminate accounts for violations
• Outstanding obligations must be fulfilled before termination

11.2 Effect of Termination

Upon termination, your access to the platform will cease, but certain provisions of these terms will survive termination.

12. Governing Law

These terms are governed by the laws of Singapore. Any disputes will be resolved in the courts of Singapore.

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated to users with 30 days' notice. Continued use of the platform constitutes acceptance of the updated terms.
